Earnings whispers are often based on incomplete or inaccurate information, and may be influenced by biases or interests of the sources providing the information. As a result, it is important for investors to treat earnings whispers with caution and to consider all available information before making investment decisions.

There are several reasons why earnings whispers may not always be accurate. First, the sources of earnings whispers may have their own biases or interests, which can affect the accuracy of the information they provide. For example, company insiders may have an incentive to provide positive earnings whispers in order to boost the company's stock price. Second, earnings whispers may be based on incomplete or inaccurate information. For example, an analyst may make an earnings whisper based on a preliminary review of a company's financial data, which may not be complete or accurate.

The inaccuracy of earnings whispers can have a significant impact on investors. By understanding the potential risks and limitations of earnings whispers, investors can better assess the accuracy and reliability of this information and make more informed investment decisions.

Legality

Earnings whispers can be considered insider trading if they are based on material non-public information (MNPI). MNPI is information that is not publicly available and that could affect the price of a company's stock. If someone with access to MNPI shares that information with someone else who then trades on that information, it is considered insider trading.

There have been several high-profile cases of insider trading involving earnings whispers. For example, in 2013, a former analyst at SAC Capital was convicted of insider trading for sharing earnings whispers with hedge fund managers. The analyst had obtained the information from a source at a public relations firm that worked with the companies that were the subject of the earnings whispers.

The SEC has taken a tough stance on insider trading, and has brought charges against both individuals and companies that have been involved in this type of activity. As a result, it is important for investors to be aware of the potential legal risks associated with earnings whispers.

If you are considering trading on an earnings whisper, it is important to do your research and make sure that the information is not based on MNPI. If you are not sure whether or not the information is MNPI, it is best to err on the side of caution and avoid trading on it.
